PARTIES
These Terms and Conditions constitute a legally binding agreement made between YOU ("user" "you" "your"), either personally or on behalf of an ENTITY and PAYSTRATER ("the site" "app" "we," "us" or "our"), concerning your access to and use of the PAYSTRATER website/app as well as any other media form, mobile website/app or software application related, linked, or otherwise connected thereto (collectively, the Site/app)
ACKNOWLEDGMENT STATEMENT
You agree that by accessing the Site/app, you have read, understood, and agree to be bound by all of these Terms and Conditions. If you do not agree with all of these Terms and Conditions, then you are expressly prohibited from using the Site/app and you must discontinue use immediately.
Fee
You will be required to pay "gas" or network fees when you transfer Tokens, the amount of which would be as determined by the network and would be collected by the relevant blockchain network.
Note that, these fees varies as they are calculated based on the amount being transacted per time.
We may charge fees for certain features we make available to you. By using these features, you agree to pay all fees associated with these features. We reserve the right to change those fees at our sole discretion. You confirm that you will pay the fees charged by us in time (if applicable). We reserve the right to suspend the features when you fail to pay fees (if applicable).
When you use services provided by a third-party, you may be charged handling fees and/or service fees, which shall be subject to the fees collected by those third-parties, and the relevant information displayed on paystrater is simply for your reference.
You shall bear all the applicable taxes and other expenses due on your transactions with Paystrater as we are just an app that help manage and display your assets held onchain which can only be accessed by you through your login details and private key, we don't hold users' funds on a central account and we do not have any form of access to them.
We offer no investment advice or feature, if any third party made services available you're solely responsible for it.
INTRODUCTION
PAYSTRATER is a Web3 self-custody app aimed at spreading the gift of Modern, Frictionless and painless crypto payments via simple, easy, fast and secure payment experience, swap and bridge. PAYSTRATER helps businesses and individuals get paid by anyone across the world.
The Site/app is intended for users who are at least 18 years old. Persons under the age of 18 are not permitted to register under this Site/app. All users who are minors in the jurisdiction in which they reside (generally under the age of 18) must have the permission of, and be directly supervised by, their parent or guardian to use the Site/app.
To provide you with our product and services, you're required to register with the Site/app. It is therefore important we collect, record, store and use information about you. This information may include sensitive and personal data as defined in the Data Protection Act subject to amendment or reenactment from time to time and all other laws or regulation governing Data Protection in Nigeria.
USER REPRESENTATIONS
By using the Site/app, you represent and warrant that:
all registration information you submit will be true, accurate, current, and complete;
you will maintain the accuracy of such information and promptly update such registration information as necessary;
you will not expose your email/login details to risks;
you have the legal capacity and you agree to comply with these Terms and Conditions;
you are not under the age of 18;
not a minor in the jurisdiction in which you reside, or if a minor, you have received parental permission to use the Site/app;
you will not access the Site/app through automated or non-human means, whether through a bot, script, or otherwise;
you will not use the Site/app for any illegal or unauthorized purpose;
your use of the Site/app will not violate any applicable law or regulation.
You will be responsible for double checking all transfer out of the app as they cannot be reverse or refund once completed.
RESPONSIBILITY FOR INFORMATION
Our use of your data is governed by applicable laws and regulations, and we are the data controller in respect of all information required and provided by you.
DATA SECURITY AND CONFIDENTIALITY
PAYSTRATER shall treat your information as confidential and will not use it for any purpose incompatible with the service we provide. Our website/app is protected with SSL Security which prevents hackers from seeing or stealing any information transferred including personal and financial data. You therefore agree to:
provide accurate and complete information required of you in all aspects;
(If you provide any information that is untrue, inaccurate, not current, or incomplete, we have the right to suspend or terminate your account and refuse any and all current or future use of the Site/app or any portion thereof).
comply with applicable laws and guidelines governing services to be provided under these terms;
only make use of our services in accordance with the terms provided;
keep your password confidential and will be responsible for all use of your account and password;
protect your email address used in creating an account with us and protect private key provided by us if at any time extracted from the site/app from risks of any form.
INTELLECTUAL PROPERTY RIGHTS
Unless otherwise indicated, the Site/app is our proprietary property and all source code, databases, software, website/app designs, audio, video, text, photographs, and graphics on the Site/app (collectively, the "Content") and the trademarks, service marks, and logos contained therein (the "Marks") are owned, controlled by and licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the Federal Republic of Nigeria, foreign jurisdictions, and international conventions.
The Content and the Marks are provided on the Site/app for your information and personal use only.
Except as expressly provided in these Terms and Conditions, no part of the Site/app and no Content or Marks may be copied, reproduced, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed, or otherwise exploited for any commercial purpose whatsoever, without the express prior written permission of PAYSTRATER.
Provided that you are eligible to use the Site/app, you are granted a limited license to access and use the Site/app and to download or print a copy of any portion of the Content to which you have properly gained access solely for your personal, non-commercial use.
We reserve all rights not expressly granted to you in and to the Site/app, the Content and the Marks.
You therefore indemnify PAYSTRATER against any claim, loss or damage that may occur as a result of your use of our intellectual property.
PROHIBITED ACTIVITIES
You may not access or use the Site/app for any purpose other than that for which we make the Site/app available. The Site/app may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us.
As a user of the Site/app, you agree not to:
systematically retrieve data or other content from the Site/app to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from us;
make any unauthorized use of the Site/app, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses;
circumvent, disable, or otherwise interfere with security-related features of the Site/app, including features that prevent or restrict the use or copying of any Content or enforce limitations on the use of the Site/app and/or the Content contained therein;
trick, defraud, or mislead us and other users, especially in any attempt to learn sensitive account information such as user passwords;
make improper use of our support services or submit false reports of abuse or misconduct;
engage in any automated use of the system, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools;
interfere with, disrupt, or create an undue burden on the Site/app or the networks or services connected to the Site/app;
attempt to impersonate another user or person or use the username of another user;
use any information obtained from the Site/app in order to harass, abuse, or harm another person;
decipher, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Site/app;
harass, intimidate, or threaten any of our employees or agents engaged in providing any portion of the Site/app to you;
use the Site/app in a manner inconsistent with any applicable laws or regulations.
GUIDELINES FOR REVIEWS
We may provide you areas on the Site/app to leave reviews or ratings. When posting a review, you must comply with the following criteria:
you should have firsthand experience with the site/app being reviewed;
your reviews should not contain references to illegal activity;
you should not be affiliated with competitors if posting negative reviews;
you may not post any false or misleading statements;
you may not organize a campaign encouraging others to post reviews, whether positive or negative.
LIMITATION OF LIABILITY
You are solely responsible for any disclosure of your log in details, private key or third party access to the site/app with your details and under no circumstances will you disclose your login details to any third party.
We reserve the right to change, modify, or remove the contents of the Site/app at any time or for any reason at our sole discretion without notice. We also reserve the right to modify or discontinue all or part of the Site/app with notice through any of our office means of communication.
We reserve the right to remove, reclaim, or ask you to change login details you select if we determine in our sole discretion, that such login details are already in use, inappropriate, obscene, or otherwise objectionable.
While we will endeavour to ensure that PAYSTRATER is available at all times, we cannot guarantee same. We may experience hardware, software, or other problems or need to perform maintenance related to the Site/app, resulting in interruptions, delays, or errors. We shall not be held liable if for any reason the site/app is unavailable at anytime or for a period of time
We reserve the right to change, revise, update, suspend, discontinue, or otherwise modify the Site/app at any time or for any reason with notice through any of our official means of communication. You agree that we have no liability whatsoever for any loss, damage, or inconvenience caused by your inability to access or use the Site/app during any downtime or discontinuance.
In no event will we be liable to you or any third-party for any direct, indirect, incidental, special or punitive damages and other damages arising from your use of the site/app.
You agree to defend, indemnify, and hold us harmless, including our affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: use of the Site/app; breach of these Terms and Conditions; any breach of your representations and warranties set forth in these Terms and Conditions; your violation of the rights of a third party, including but not limited to intellectual property rights; or any overt harmful act toward any other user of the Site/app with whom you connected via the Site/app.
We will maintain certain data that you transmit to the Site/app for the purpose of managing the Site/app, as well as data relating to your use of the Site/app. Although we perform regular routine backups of data, you are solely responsible for all data that you transmit or that relates to any activity you have undertaken using the Site/app. You agree that we shall have no liability to you for any loss or corruption of any such data, and you hereby waive any right of action against us arising from any such loss or corruption of such data.
You are responsible for keeping details/information secure at all times, without reservation. For the avoidance of doubt, PAYSTRATER will not be responsible when/where you compromise your details by disclosing it to third parties or negligent with your details.
You are liable for all transactions initiated using your account even if not authorised by you or if done in error.
You are responsible for any risk you expose your email/login details to as we don't have power to access, secure and protect email accounts.
These Terms and Conditions and any policies or operating rules posted by us on the Site/app constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or provision.
These Terms and Conditions operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control.
The information provided on the Site/app is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, persons who choose to access the Site/app from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.
PRIVACY POLICY
We care about data privacy and security. By using PAYSTRATER you agree to be bound by our Privacy Policy, which is incorporated into these Terms and Conditions as follows;
You are solely responsible for any disclosure of your log in details or third party access to the site/app with your details.
You are responsible for keeping your details secure at all times, without reservation. PAYSTRATER will not be responsible when/where you compromise your details by disclosing it to third parties or when/where you are negligent with your details.
We are expressly exempted from any liability arising from unauthorized access to the site/app via the use of your login details.
You agree to be solely responsible for any fraud, loss and or liability to us or a third party arising from usage of your login details or for any loss that may occur as a result of transfer of your phone on which PAYSTRATER is accessed either by theft, gift or any other means.
GOVERNING LAW
These Terms and Conditions and your use of the Site/app are governed by and construed in accordance with the laws of The Federal Republic of Nigeria and applicable to agreements, disputes or claim arising out of or in connection with our services.
To enable us comply with applicable laws and regulations you agree to:
use the site/app for legal and lawful purposes alone and not for any act which is unlawful or illegal;
provide true, current, complete and accurate information including but not limited to your login details;
use contents on the site/app only as permitted or expressly authorised by us;
not to copy, create, distribute or reproduce any work from our site/app.
Violations/Non compliance
Abuse or ignoring the provisions outlined in the terms and conditions amounts to a breach of contractual relationship;
violation of any clause in this agreement by you is also a ground for discontinuance of our services;
we also reserve the right to take appropriate legal action against anyone who, in our sole discretion, violates the law or these Terms and Conditions, including without limitation, reporting such user to law enforcement authorities;
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party;
in addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
This Agreement is subject to, and shall be governed by, and construed in accordance with the laws of Nigeria, without reference to the principles of conflict of laws thereof.
Any matters arising concerning the interpretation, validity or implementation of this Agreement not solved by mutual agreement between the Parties shall be submitted to arbitration in the English language before a sole arbitrator to take place in Jos, Nigeria as the seat of the arbitration.
The arbitration shall be conducted pursuant to the Rules of Arbitration of the Chartered Institute of Arbitrators of the United Kingdom. The arbitral decision shall be final and binding on the Parties and may be made an order of court.
The Parties unconditionally consent and submit to the jurisdiction of the High Court Jos, Nigeria for such purpose.
PAYSTRATER will not be prevented from seeking injunctive relief (or any other provisional remedy) from any court having jurisdiction over the Parties and the subject matter of the dispute as is necessary to protect proprietary information, or any other intellectual property rights.
If an arbitration process, a court of competent jurisdiction or other competent authority finds any part of this Agreement invalid, unlawful or unenforceable, then such part shall be severed from the remainder of this Agreement which will continue to be valid and enforceable to the fullest extent permitted by law.
If any provision or part of a provision of these Terms and Conditions is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these Terms and Conditions and does not affect the validity and enforceability of any remaining provisions.
UPDATE
Supplemental terms and conditions or documents that may be posted on the Site/app from time to time are hereby expressly incorporated herein by reference. We reserve the right, in our sole discretion, to make changes or modifications to these Terms and Conditions at any time and for any reason.
We will alert you about any changes by updating the "Last updated" date of these Terms and Conditions, and you waive any right to receive specific notice of each such change.
It is your responsibility to periodically review these Terms and Conditions to stay informed of updates. You will be subject to, and will be deemed to have been made aware of and to have accepted, the changes in any revised Terms and Conditions by your continued use of the Site/app after the date such revised Terms and Conditions are posted.
CORRECTIONS
There may be information on the Site/app that contains typographical errors, inaccuracies, or omissions that may relate to the Site/app, including descriptions, pricing, availability, and various other information. These Terms and Conditions shall remain in full force and effect while you use the Site/app. Without limiting any other provision of these terms and conditions, we reserve the right to in our sole discretion, and without liability or notice deny access to and use of the site/app to any person for reasons including but not limited to; breach of any representation, terms or covenant contained in these terms and conditions or of any applicable law or regulation. We may terminate your use or participation in the site/app/on the app without warning in our sole discretion.
